1. Acceptance of Terms

Welcome to Conclave Capital ("we," "us," "our"). These Terms of Use ("Terms") govern your access to and use of conclavecapital.io and all services provided through it. By accessing or using this website and/or purchasing any service, you accept and agree to be bound by these Terms and our Disclaimer and Privacy Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not use this website or purchase any service.

2. No Australian Financial Services Licence

Conclave Capital and its founder do not hold an Australian Financial Services Licence (AFSL) and are not authorised representatives of any AFSL holder. Conclave Capital does not provide financial product advice within the meaning of the Corporations Act 2001 (Cth). All content, algorithmic indicators, and communications are factual information and general educational content only. Nothing provided constitutes a recommendation to acquire, hold, or dispose of any financial product or cryptocurrency asset.

3. Eligibility

You must be at least 18 years of age to use our services. By using this website, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are not prohibited from using our services under the laws of your jurisdiction. You further acknowledge that you are accessing this service voluntarily and that you understand the risks associated with cryptocurrency markets.

4. Nature of Services

Conclave Capital provides educational content and research tools related to Bitcoin markets, including algorithmic chart indicators accessible via TradingView, market analysis, Telegram-delivered market commentary, and educational resources. All content and services are provided for educational and research purposes only and do not constitute financial advice, investment advice, or any form of personalised recommendation. Conclave Capital is not a financial planning service, a managed investment scheme, or a financial product dealer.

5. Intellectual Property — Ownership

All intellectual property associated with Conclave Capital is the exclusive property of its founder, Andonis Christodoulou, trading as Conclave Capital. This includes, without limitation:

• —The name "Conclave Capital" and all associated branding, logos, and trade marks (including applications pending registration with IP Australia)
• —The proprietary Bitcoin algorithm, including its underlying logic, methodology, parameters, datasets, and any modifications or improvements made at any time
• —All TradingView Pine Script code, indicators, and chart configurations
• —All market analysis reports, signal outputs, backdrop reports, and commentary delivered via Telegram or any other channel
• —The website design, layout, copy, and all written content at conclavecapital.io
• —All email templates, onboarding materials, and member communications
• —Any derivative works, enhancements, or adaptations of any of the above

These works are protected under the Copyright Act 1968 (Cth), applicable trade mark law, and the law of confidential information. Unauthorised use, reproduction, or disclosure of any of the above constitutes an infringement of our intellectual property rights and may give rise to civil and criminal liability.

6. Algorithm Confidentiality — Trade Secret

The Conclave Capital algorithm constitutes a trade secret and confidential proprietary information. By accessing our services, you expressly agree to the following obligations:

• —You will not attempt to reverse-engineer, decompile, disassemble, copy, replicate, or reconstruct the algorithm or any part of its underlying logic, methodology, or datasets.
• —You will not disclose, publish, share, or communicate the algorithm's logic, parameters, or any information that could reasonably be used to replicate it, to any third party under any circumstances.
• —You will not use the algorithm or any derivative thereof to create a competing product or service.
• —You acknowledge that the algorithm's value derives in part from its confidentiality, and that any breach of these obligations would cause irreparable harm to Conclave Capital.
• —These confidentiality obligations survive the termination or expiry of your membership indefinitely.

In the event of any breach or threatened breach of these confidentiality obligations, Conclave Capital reserves the right to seek injunctive relief, damages, and any other remedy available at law or in equity, without the need to prove actual loss.

7. Signal & Content Redistribution Prohibition

All signals, market analysis reports, Telegram messages, and content delivered through Conclave Capital channels are provided for your personal use only. You expressly agree that you will not:

• —Forward, share, copy, screenshot, or redistribute any signal, report, or content to any third party, whether for commercial gain or otherwise.
• —Post or publish any signal or content from Conclave Capital on any public forum, social media platform, website, or messaging group.
• —Use any Conclave Capital signal or content as the basis for a competing signal service, newsletter, or advisory product.
• —Allow any third party to access your membership, TradingView access, or Telegram channel access.
• —Sell, sublicense, or otherwise transfer your membership or any rights granted under these Terms.

Violation of this clause will result in immediate termination of your membership without refund and may result in legal action for damages, including loss of profits and reputational harm.

8. Trade Mark Notice

"Conclave Capital" and the associated logo are trade marks of Andonis Christodoulou trading as Conclave Capital (trade mark applications filed with IP Australia, 25 March 2026). You may not use the Conclave Capital name, logo, or any confusingly similar mark in connection with any product, service, or business without our express prior written consent. Unauthorised use of our trade marks may constitute trade mark infringement and passing off under Australian law.

9. Licence Grant

Subject to your compliance with these Terms and payment of applicable fees, Conclave Capital grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the services solely for your own personal, non-commercial purposes. This licence does not include any right to sublicense, reproduce, distribute, create derivative works from, publicly display, or commercially exploit any content or services. All rights not expressly granted are reserved.

10. Payment and No Refund Policy

All purchases of Conclave Capital services are final. By completing a purchase, you acknowledge and agree that:

• —All fees are non-refundable once payment has been processed, except where required by applicable law.
• —No refunds will be issued for change of mind, dissatisfaction with market conditions, or failure to use the services.
• —Monthly subscription fees are charged in advance and access is granted immediately upon payment.
• —Cancellation of a monthly subscription will take effect at the end of the current billing period; no partial refunds are provided.
• —Lifetime access fees are a single one-time payment and are non-refundable under any circumstances.

Nothing in this clause excludes, restricts, or modifies any consumer guarantee, right, or remedy available to you under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.

11. User Responsibilities

By using this website and our services, you agree to:

• —Use the services only for lawful purposes and in accordance with these Terms.
• —Not reproduce, distribute, sublicense, or create derivative works from our content without prior written permission.
• —Not share your TradingView access, Telegram channel access, account credentials, or any access granted under your membership with any third party.
• —Not attempt to reverse-engineer, copy, replicate, or disclose the algorithm, its underlying logic, or any proprietary datasets.
• —Maintain the confidentiality of any access credentials provided to you.
• —Not use the services in any way that could damage, disable, overburden, or impair our systems.
• —Not use the services to engage in any unlawful activity, including market manipulation or fraud.

12. Disclaimers and Risk

The content and services provided are for educational purposes only and should not be construed as financial or investment advice. We make no warranties or representations about the accuracy, completeness, or fitness for purpose of any content. We do not guarantee any specific results from the use of our services. Cryptocurrency markets are highly volatile and you may lose some or all of your capital. Your use of the services is entirely at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, Conclave Capital will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our website or services, including any losses arising from reliance on our content or algorithmic outputs. Nothing in these Terms excludes, restricts, or modifies any right or remedy available to you under the Australian Consumer Law that cannot lawfully be excluded.

14. Termination and Suspension

We reserve the right to terminate or suspend your access to our services at any time, with or without notice, for any reason including but not limited to violation of these Terms, sharing of access credentials, redistribution of signals or content, or any attempt to reverse-engineer or disclose proprietary information. Upon termination for cause, no refund will be issued. We also reserve the right to discontinue the service entirely with reasonable notice.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the website after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia. Nothing in these Terms limits your rights under Australian Consumer Law.
